Anthropic’s S-1 filing reveals a departure from traditional tech IPO models. Where venture firms typically command double-digit stakes, Anthropic’s astronomical valuation means even firms with multi-billion dollar positions hold less than 5% of the company. Menlo Ventures, for instance, holds a $14 billion stake that represents only about 1.5% of the total equity. This dilution highlights the sheer scale of the company’s capital requirements and its shift toward strategic backing.
Amazon’s strategy centers on $6.2 billion in convertible notes, which have ballooned in value to $97.9 billion as of mid-2026. Beyond this debt-to-equity engine, Amazon bolstered its standing with $10 billion in nonvoting preferred stock. This multi-layered approach ensures Amazon profits not only from the IPO but also from the $110 billion in cloud infrastructure commitments Anthropic has pledged to AWS. Google remains a significant player with a stake estimated at 5.6% and a $114 billion cloud services agreement, yet the sheer volume of Amazon’s convertible holdings positions it as the primary financial beneficiary of Anthropic’s growth.
